These Terms & Conditions ("Terms") govern your access to and use of the Product Automation website and all related services provided by Velo Labs Limited ("Product Automation," "we," "us," or "our"). By purchasing or using our products, you agree to these Terms.

1. Products & Services

Product Automation provides digital products, affiliate marketing tools, training materials, and related services. All products are delivered digitally through our platform.

You receive access to our affiliate platform (EarnHive) where you can promote products and earn commissions on sales generated through your unique affiliate links.

2. Earnings Disclaimer

Results are not guaranteed. The income examples and testimonials shown on our website represent the results achieved by specific individuals. Your results will vary based on your effort, experience, ad spend, market conditions, and other factors.

We do not guarantee that you will earn any specific amount of money. Product Automation provides tools and training. Your success depends entirely on your own execution.

Any earnings figures mentioned are for illustration purposes only and should not be interpreted as a promise or guarantee of income.

3. Refund & Cancellation Policy

This section outlines the refund and cancellation terms for each product and service we offer. By completing your purchase, you acknowledge and agree to these terms.

3.1 Product Automation (Front-End Product): 14-Day Money-Back Guarantee

Your initial purchase of Product Automation is covered by a 14-day unconditional money-back guarantee. If you are not satisfied for any reason, you may request a full refund within 14 calendar days of your original purchase date by emailing team@clovacore.com.

Refunds are processed within 5-10 business days to the original payment method. This guarantee applies exclusively to the Product Automation front-end product. It does not extend to any other products, upgrades, subscriptions, or add-ons purchased separately.

3.1a The Partner Challenge: Win Your ₦15,000 Back

The Partner Challenge is a separate, action-based refund of your ₦15,000 access fee. To qualify, within 30 calendar days of your purchase date you must complete all four of the following steps: (1) finish the core training; (2) select one product from the vault; (3) launch one advertising campaign using a creative from the ad library; and (4) run that campaign for seven consecutive days at a minimum of $5/day, then post a screenshot from your ad manager in the private partner community as proof.

The screenshot must clearly show seven consecutive days of delivery at a minimum spend of $5/day. Once we verify your submission, we refund the ₦15,000 access fee within 5-10 business days of verification, and you retain full, permanent access to everything included. The refund covers the ₦15,000 access fee only and does not include your ad spend or any other costs.

The Partner Challenge is an action-based refund and is not tied to your results or earnings in any way. It is offered in addition to, and not instead of, the 14-day money-back guarantee in Section 3.1.

3.2 Coaching Subscription: Non-Refundable, Cancel Anytime

The coaching subscription (including any free trial period) is a recurring monthly subscription billed monthly after any applicable trial period ends. By activating a coaching subscription (including a free trial), you authorise recurring monthly charges to your payment method until you cancel.

Coaching subscriptions are non-refundable. No partial or full refunds will be issued for any coaching subscription payments, including the first paid month after a free trial. You may cancel your coaching subscription at any time through your EarnHive account settings (Settings → Cancel Coaching). Cancellation takes effect at the end of your current billing period; you will retain access until that date. No refund will be issued for the remaining days of a billing period after cancellation.

If you activate a free trial, you are responsible for cancelling before the trial period ends if you do not wish to be charged. Trial end dates are displayed in your dashboard. We send no separate reminder; it is your responsibility to cancel before the trial expires.

3.3 Commission Tier Upgrades (Professional, Partner, Platinum): Non-Refundable

All commission tier upgrades are one-time purchases that are non-refundable. These upgrades provide immediate access to higher commission rates and additional platform features. Because these benefits are delivered instantly and cannot be "returned," no refunds, partial refunds, or credits will be issued under any circumstances.

By purchasing a commission tier upgrade, you acknowledge that you have read the product description, understand what is included, and agree that the purchase is final and non-refundable.

3.4 Chargebacks & Disputed Payments

If you have an issue with any charge, we ask that you contact us at team@clovacore.com before initiating a chargeback or payment dispute with your bank or card provider. We are committed to resolving all genuine concerns promptly and fairly.

If a chargeback or payment dispute is filed for a product or service that is explicitly marked as non-refundable in these Terms (Sections 3.2 and 3.3), we will submit these Terms and Conditions, along with evidence of your purchase, your agreement to these Terms at checkout, delivery confirmation, and records of product access and usage, as evidence in the dispute process.

By completing any purchase on our platform, you confirm that you have read, understood, and agreed to the refund and cancellation terms set out in this Section 3, including the non-refundable nature of coaching subscriptions and commission tier upgrades.

4. Affiliate Commissions

You earn a flat 50% commission on every sale.

Commissions are subject to a holding period before they become eligible for payout. Commissions on refunded transactions will be reversed.

We reserve the right to terminate affiliate accounts that engage in fraudulent, deceptive, or unethical marketing practices.

All content provided through Product Automation and EarnHive, including ad creatives, training materials, tools, and software, is the property of Velo Labs Limited. You are granted a personal, non-transferable licence to use these materials for your own affiliate marketing activities.

7. Limitation of Liability

To the maximum extent permitted by law, Velo Labs Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of our services.

Our total liability shall not exceed the amount you paid for the product or service in question.

8. Third-Party Services

Our platform integrates with third-party services including Whop (payments), Meta (advertising), and others. We are not responsible for the actions, policies, or availability of these third-party services.

9. Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in behaviour that is harmful to our business or other users.

10. Modifications

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Nigeria.
